What it is and why it matters

What translating an incentive plan involves

An incentive plan is the instrument a company uses to reward and retain its executives and key employees beyond salary: a stake in the equity or in its value (stock options, phantom shares, RSUs), multi-year bonuses (LTIP) and, in senior management contracts, specific retention and exit clauses. Translating them requires handling a crossover of disciplines — employment, corporate and remuneration — and very specific concepts: vesting, cliff, good leaver / bad leaver, claw-back, golden parachute or post-contractual non-compete covenants. Many come from the Anglo-Saxon environment and have no literal counterpart in Spanish law. They are requested by startups setting up their option pool, multinationals with global plans and international executives. We deliver them as a simple or sworn translation depending on their use.

Stock options and equity

Options over shares, RSUs and equity award plans, with their exercise and vesting conditions.

Phantom shares and bonuses

A stake in value without delivery of equity, multi-year bonuses (LTIP) and long-term variable pay.

Senior management contracts

Executive and director contracts, with exit (golden parachute), retention and good/bad leaver clauses.

Retention and protection

Post-contractual non-compete, exclusivity, confidentiality and claw-back clauses.

Two documents that go hand in hand

Incentive plan or executive contract?

They are different documents that are often signed together: the plan governs the incentive (the options or the bonus); the contract governs the executive's employment relationship. Knowing which is which helps translate them with the right terminology. We cover both.

The incentive

Incentive plan

It governs how and when the employee or executive obtains the incentive: what the instrument is, how much, under what targets and with what vesting schedule.

  • Stock options, phantom shares and RSUs
  • Bonuses and long-term plans (LTIP)
  • Vesting, cliff and acceleration
  • Good leaver and bad leaver scenarios
The employment relationship

Senior management contract

It governs the executive's relationship with the company: duties, fixed pay, exclusivity and what happens when the relationship ends.

  • Duties, reporting lines and fixed pay
  • Exit clause (golden parachute)
  • Post-contractual non-compete and exclusivity
  • Confidentiality and claw-back clause

What the price depends on

There is no single rate: a plan can range from an individual grant agreement to the full plan rules with their schedules. The price is worked out from these four factors; that is why it helps for us to see the document before giving you a firm figure.

The languageThe language combination and the availability of specialist legal translators for that pair.
The actual volumeThe real length of the document, not the apparent number of pages.
Legal complexityDensity of clauses, definitions and equivalence between legal systems.
UrgencyIf you have a tight deadline, we check feasibility and prioritise where possible.

When the plan needs a sworn translation

Officially valid, when it is needed

Incentive plans and executive contracts are usually translated as a simple translation, to inform the workforce or sign between the parties. But when the document must be submitted to a court (for example, in an employment dispute), executed as a public deed or filed with a public body, a sworn translation is required, signed and stamped by an officially accredited sworn translator-interpreter. You can check accreditation by language in the official search tool of the Ministry of Foreign Affairs.

The general framework is governed, among other rules, by Royal Decree 724/2020 (BOE), which regulates the Language Interpreting Office and the role of the sworn translator. If your procedure is international, in some cases a Hague apostille or legalisation is also required depending on the country.

At Trayma we review the destination country and body with you before issuing the final version, so we can recommend the safest type of delivery and avoid rejections.

Frequently asked questions

Frequently asked questions about incentive plan translation

Which executive remuneration documents do you translate?
Stock option, phantom share and RSU plans, bonus and long-term incentive plans (LTIP), senior management contracts and their schedules, and the associated covenants (non-compete, retention, confidentiality). We translate them keeping consistency between the plan, the individual grant agreement and the employment contract.
How do you translate concepts such as vesting, leaver or claw-back?
They are terms from the Anglo-Saxon environment with no literal counterpart in Spanish law. We translate them with the expression established in practice (in Spanish, consolidación por permanencia, supuestos de salida, cláusula de recuperación) and, where helpful, keep the original term in brackets. What matters is that the conditions and time periods do not change in scope.
How does it differ from vesting within an investment round?
In a funding round vesting appears as one more clause in the agreement with the investors. Here the focus is the full incentive plan — its rules, the grant agreement and the relationship with the employee or executive — as a remuneration and retention tool, not as a schedule to the investment.
Does the plan translation have to be sworn?
Usually not: to communicate the plan to the workforce or sign it between the parties a simple translation is usually enough. A sworn translation is required when the document must be submitted to a court, executed as a public deed or filed with a public body. We confirm what you need depending on the use.
Can you translate the plan to communicate it to employees in several countries?
Yes. It is one of the most common uses: a parent company launches a global plan and needs versions in the languages of its subsidiaries. We deliver bilingual or per-language versions, with the same terminology in all of them, so the plan is understood the same way in every country.
Do you guarantee the confidentiality of remuneration information?
Yes. Executive remuneration and incentive plans are highly sensitive information. We sign NDAs, use secure channels and limit access to the assigned team, so the information is protected throughout the whole process.
