What it is and why it matters

What translating a share purchase agreement (SPA) involves

The purchase agreement for quotas or shares — the Share Purchase Agreement or SPA — is the definitive document that closes the sale of a company: it sets out what is being sold, at what price and under what conditions and warranties. It is the densest and highest-risk document in the whole deal, because its clauses allocate liability between buyer and seller for years. Translating it calls for absolute precision in the critical parts: the price and its adjustments (including the earn-out), the representations and warranties (reps & warranties), the indemnities, the conditions precedent and closing, with equivalence between common law and continental civil law. It is the signing stage of a mergers and acquisitions deal; here we focus on the contract that closes it.

Quotas or shares

Sale of quotas or sale of shares?

The SPA changes depending on what is being bought. In Spain, limited liability companies (S.L.) have quotas (participaciones) and public limited companies (S.A.) have shares (acciones), and each route has its own formalities. Tell us which applies to you and we translate it with the exact corporate terminology.

Limited liability company (S.L.)

Sale of quotas

The transfer of quotas is usually formalised in a public deed before a notary, which often requires a sworn translation to execute the contract as a public deed.

Public limited company (S.A.)

Sale of shares

The transfer of shares has its own formalities (book entries, share certificates or registers). The SPA likewise governs the price, warranties and indemnities of the deal.

What the price depends on

There is no single rate: an SPA can range from a few pages to a contract with dozens of schedules. The price is worked out from these four factors; that is why it helps for us to see the document before giving you a firm figure.

The languageThe language combination and the availability of specialist legal translators for that pair.
The actual volumeThe real length of the document, not the apparent number of pages.
Legal complexityDensity of clauses, definitions and equivalence between legal systems.
UrgencyIf you have a tight deadline, we check feasibility and prioritise where possible.

When the SPA needs a sworn translation

Officially valid, when it is needed

Many SPAs are translated as a simple translation for negotiation and signing between the parties. But when the contract must be executed as a public deed before a notary — common in the sale of quotas in an S.L. — registered with a registry or submitted in proceedings, a sworn translation is required, signed and stamped by an officially accredited sworn translator-interpreter. You can check accreditation by language in the official search tool of the Ministry of Foreign Affairs.

The general framework is governed, among other rules, by Royal Decree 724/2020 (BOE), which regulates the Language Interpreting Office and the role of the sworn translator. If your procedure is international, in some cases a Hague apostille or legalisation is also required depending on the country.

At Trayma we review the destination country and body with you before issuing the final version, so we can recommend the safest type of delivery and avoid rejections.

Frequently asked questions

Frequently asked questions about SPA translation

What is an SPA and how does it differ from an LOI or a term sheet?
The SPA (Share Purchase Agreement) is the definitive purchase agreement for quotas or shares: the document that closes the deal with all its conditions and warranties. The letter of intent and the term sheet are preliminary and set out the terms on an indicative basis; the SPA is the binding, detailed agreement that comes afterwards.
Which SPA clauses are the most delicate to translate?
The ones that set the price and allocate risk: price and adjustments, earn-out, representations and warranties (reps & warranties), indemnities, conditions precedent and closing clauses. Many come from common law and have no literal equivalent in continental civil law, so we translate them with particular care so their scope does not change.
Does the SPA translation have to be sworn?
It depends on the use. To negotiate and sign between the parties a simple translation is usually enough. If the contract must be executed as a public deed before a notary (common in the sale of quotas in an S.L.), registered with a registry or submitted in proceedings, a sworn translation is required. We confirm what you need depending on the procedure.
Do you keep consistency with the rest of the deal documents?
Yes. The SPA shares definitions and terminology with the letter of intent, the due diligence report and the shareholders' agreement. We keep a project glossary so that the whole deal file uses the same terms and there are no discrepancies between documents.
Can you also translate the schedules and the disclosure letter?
Yes. An SPA usually comes with numerous schedules (accounts, contracts, asset lists) and with the disclosure letter, which qualifies the warranties. We translate them together with the contract so everything fits, respecting cross-references.
How do you guarantee the confidentiality of the deal?
An SPA contains highly sensitive information about the price, the parties and the company. We sign NDAs, use secure channels and limit access to the assigned team, so the deal information is protected throughout the process and after it.
