What it is and why it matters

What translating a funding round involves

A funding round is the transaction through which a company — usually a startup — raises new capital from investors in exchange for equity. Unlike a sale, the company is not sold: money comes in and new capital is issued, which dilutes the existing shareholders. Its documentation combines instruments that are very specific to the venture world: investment term sheet, investment agreement, preferred shares, convertible notes or SAFEs, pre-money and post-money valuation, liquidation preference, anti-dilution, option pool and founder vesting. Many come from the Anglo-Saxon ecosystem and have no literal equivalent in Spanish law, so translating them well requires command of both legal and financial language. It is the capital-entry route within an M&A and venture capital deal.

Investment term sheet

The round's term sheet: valuation, amount, type of instrument and the investor's main rights.

Investment agreement

Investment agreement setting the investor's entry conditions and the company's and founders' undertakings.

Convertible note and SAFE

Investment instruments that convert into equity in a future round, with a discount and a valuation cap.

Investor rights

Liquidation preference, anti-dilution, information, veto and drag-along rights that protect the investment.

Two ways to invest

Equity investment or convertible note?

A round can be structured in two main ways, and the documents change accordingly. Tell us which applies to you and we translate each instrument with the exact financial and legal terminology.

The investor comes in now

Equity investment

The investor subscribes for equity straight away, at an agreed valuation. It requires a capital increase and is usually executed as a public deed before a notary.

  • Investment and subscription agreement
  • Pre-money and post-money valuation
  • Preferred shares and rights
  • Capital increase and public deed
Valuation is deferred

Convertible note / SAFE

The investor puts in money now and converts into equity in a future round, with a discount and a valuation cap. Faster, without setting the valuation today.

  • Convertible note
  • SAFE (Simple Agreement for Future Equity)
  • Discount and valuation cap
  • Conversion conditions and trigger events

What the price depends on

There is no single rate: a round can be a SAFE of a few pages or a full package with an agreement, a shareholders' agreement and schedules. The price is worked out from these four factors; that is why it helps for us to see the documentation before giving you a firm figure.

The languageThe language combination and the availability of specialist legal translators for that pair.
The actual volumeThe real length of the document, not the apparent number of pages.
Legal complexityDensity of clauses, definitions and equivalence between legal systems.
UrgencyIf you have a tight deadline, we check feasibility and prioritise where possible.

When the round needs a sworn translation

Officially valid, when it is needed

Much of a round's documentation is translated as a simple translation, for negotiation between the company and the investors. But when a document — the investment agreement, the capital increase or the shareholders' agreement — must be executed as a public deed before a notary or registered with a registry, a sworn translation is required, signed and stamped by an officially accredited sworn translator-interpreter. You can check accreditation by language in the official search tool of the Ministry of Foreign Affairs.

The general framework is governed, among other rules, by Royal Decree 724/2020 (BOE), which regulates the Language Interpreting Office and the role of the sworn translator. If your procedure is international, in some cases a Hague apostille or legalisation is also required depending on the country.

At Trayma we review the destination country and body with you before issuing the final version, so we can recommend the safest type of delivery and avoid rejections.

Frequently asked questions

Frequently asked questions about funding round translation

Which funding round documents do you translate?
The whole package: the investment term sheet, the investment agreement, the convertible note or SAFE, the shareholders' agreement that comes into force with the round, the capital increase documentation and the schedules (cap table, incentive plans). We translate it keeping the terminology consistent across all the documents.
How does it differ from translating a share purchase (SPA)?
In a share purchase a buyer acquires an existing company. In a funding round, new capital comes in in exchange for equity, which dilutes the shareholders and uses venture-specific instruments (pre/post-money valuation, SAFE, liquidation preference). We cover both, but with different terminology depending on the case.
How do you translate concepts such as SAFE, pre-money or liquidation preference?
They are terms from the Anglo-Saxon ecosystem with no exact literal equivalent in Spanish law. We translate them with the expression established in practice (in Spanish, preferencia de liquidación, valoración pre-money) and, where helpful, keep the original term in brackets to avoid ambiguity. What matters is that the figures and rights do not change.
Does the translation of the round documents have to be sworn?
It depends on the use. For negotiation between the company and the investors a simple translation is usually enough. If the investment agreement, the capital increase or the shareholders' agreement must be executed as a public deed before a notary or registered with a registry, a sworn translation is required. We confirm which documents need it depending on the procedure.
Can you work at the speed a round demands?
Yes. Round closings usually run on tight deadlines. We work with a project glossary to move fast while keeping consistency, and we prioritise documents according to the closing timetable. Tell us the volume and the date and we will assess feasibility.
Do you guarantee the confidentiality of the deal?
Yes. A round's documentation reveals the company's valuation, cap table and strategy. We sign NDAs, use secure channels and limit access to the assigned team, so the information is protected throughout the whole process.
