What it is and when it’s signed

What translation of an NDA is

A non-disclosure agreement (NDA) is the contract the parties sign to protect the sensitive information they are going to share before or during a negotiation. It is the document signed before you start almost anything: an M&A deal, an investment round, a partnership, the selection of a supplier or a meeting with an investor. Translating it well calls for precision in the points that define its real scope: what information is deemed confidential, how long the obligation lasts, what exceptions there are, what happens on a breach (penalty) and which law and jurisdiction apply. Being a short document, it is usually resolved quickly; we deliver it as a simple or sworn translation depending on its use. At Trayma we sign an NDA on every project, so we know this document inside out.

NDA types and clauses

Non-disclosure agreements we translate

We translate any non-disclosure agreement and the clauses that define its real scope, preserving definitions, cross-references and annexes. What matters is that it protects exactly the same thing in both languages.

Unilateral NDA

Only one party discloses information; the other undertakes to keep it.

Mutual NDA (bilateral)

Both parties share information and both are bound.

Definition of confidential information

Scope of what is protected and exclusions of what is not confidential.

Term and obligations

Duration of the obligation, permitted use and return or destruction.

Penalty and breach

Consequences of breach, indemnification and injunctive relief.

Governing law and jurisdiction

The law governing the agreement and the competent courts or arbitration.

Clauses within a contract

The confidentiality clause included in a larger contract.

Deal NDA

The agreement that opens a due diligence or an investment round.

Unilateral or mutual

Is your NDA unilateral or mutual?

This is the first thing to be clear about, because it changes who the agreement binds and how the clauses are drafted. Tell us which one it is and we translate it so the obligations fall exactly where they should.

One party discloses

Unilateral NDA

Only one party shares confidential information and the other undertakes to protect it. Typical when a company shows its project to a potential supplier, investor or candidate.

  • Presenting a project to an investor
  • Sensitive interviews and recruitment processes
  • Proof-of-concept work with a supplier
  • One-way confidentiality obligation
Both parties disclose

Mutual NDA (bilateral)

Both parties exchange information and both are equally bound. Common when two companies explore a collaboration, a deal or a partnership.

  • Exploring a partnership or joint venture
  • Start of an M&A deal or a funding round
  • R&D collaborations between companies
  • Reciprocal confidentiality obligation

What the price depends on

There is no single rate, though an NDA is usually a short and affordable document. The price is worked out from these four factors; that is why it helps for us to see the document before giving you a firm figure.

The languageThe language combination and the availability of specialist legal translators for that pair.
The actual volumeThe real length of the document, not the apparent number of pages.
The complexityDensity of clauses, definitions and equivalence between legal systems.
UrgencyIf you have a tight deadline, we check feasibility and prioritise where possible.

For a firm quote

Send us these four details and we reply with the price, a feasible turnaround and the recommended delivery.

  • The document (PDF or legible photo)
  • Source and target language
  • Country and body where it will be submitted
  • Deadline and whether a paper delivery is required

When the NDA needs a sworn translation

Officially valid, when it is needed

Most non-disclosure agreements are translated as a simple translation, to negotiate or sign between the parties. But when the NDA has to be submitted to a court as evidence of a breach, or before a notary or a public body, a sworn translation is required, signed and stamped by an officially accredited sworn translator-interpreter. You can check accreditation by language in the official search tool of the Ministry of Foreign Affairs.

The general framework is governed, among other rules, by Royal Decree 724/2020 (BOE), which regulates the Language Interpreting Office and the role of the sworn translator. If your procedure is international, in some cases a Hague apostille or legalisation is also required depending on the country.

At Trayma we review the destination country and body with you before issuing the final version, so we can recommend the safest type of delivery and avoid rejections.

Frequently asked questions

Frequently asked questions about NDA translation

What is an NDA and when is it translated?
An NDA (non-disclosure agreement) is the contract that protects the sensitive information two parties are going to share. It is translated when the parties speak different languages and need to sign the same document: before an M&A deal, a funding round, a partnership, bringing in a supplier or a presentation to an investor.
What is the difference between a unilateral and a mutual NDA?
In a unilateral NDA only one party discloses confidential information and the other undertakes to protect it; in a mutual or bilateral NDA both parties share information and both are bound. It changes who the clauses bind, so it is the first thing to be clear about. We translate both, taking care that the obligations fall where they should.
How long does it take and how much does it cost to translate an NDA?
An NDA is usually a short document, so it is normally resolved quickly and at a moderate price. The turnaround and the price depend on the language, the actual length and urgency. For a firm figure we need to see the document; if it is urgent, we check feasibility and prioritise where possible.
Which clauses are the most delicate when translating an NDA?
The ones that define the real scope of the agreement: what counts as confidential information and what is excluded, how long the obligation lasts, what uses are allowed, what happens on a breach (penalty and damages) and which law and jurisdiction apply. We translate them with particular care so they protect exactly the same in both languages.
Does the NDA translation have to be sworn?
Generally no: to negotiate and sign between the parties a simple translation is enough. A sworn translation is required when the NDA must be submitted to a court as evidence, formalised before a notary or filed with a public body. We confirm what you need depending on the use before starting.
Do you guarantee the confidentiality of the document itself?
Completely. At Trayma we sign a non-disclosure agreement on every project, we use secure channels and we limit access to the assigned team. The content of your NDA, and the information it protects, are safeguarded throughout the whole process.
