What it is and why it matters

What translation of a due diligence is

Due diligence is the pre-deal review phase —a company sale, an investment or a financing— in which the buyer or investor thoroughly examines the target company through its data room. Translating a due diligence is not translating a document, but the multidisciplinary whole of the data room: legal, tax, employment, financial and commercial documentation, with hundreds of interdependent files. The difficulty is both terminological and operational: consistency must be kept across areas, working under tight deadlines and guaranteeing extreme confidentiality because the information is sensitive. It is the central phase of a mergers and acquisitions deal; here we focus on translating its data room.

Legal due diligence

Contracts, bylaws, deeds, powers of attorney, litigation and licences: the target company’s legal standing.

Financial due diligence

Financial statements, accounts, audit reports and projections, with the numerical precision the analysis demands.

Tax due diligence

Tax returns, inspection records, tax rulings and the company’s tax contingencies.

Employment and commercial due diligence

Payslips, collective agreements, employment contracts, clients, suppliers and key commercial contracts.

Data room documentation

What we translate from the data room

We translate the documents the buyer or investor reviews in each area of the data room, preserving format, tables, figures and annexes, and keeping the terminology consistent across all of them.

Depending on who commissions the review

Sell-side or buy-side due diligence?

Due diligence is translated from both sides of the table, and the focus changes. We adapt to whether you’re preparing your company for sale or analysing a company you want to buy.

Sell side

Vendor due diligence

You’re preparing your company for sale or to attract investment and need the data room available in the language of the international buyer or investor before opening the process.

  • Translation of the complete data room by area
  • Vendor due diligence report
  • Sale memorandum and corporate information
  • Terminological consistency across the whole file
Buy side

Buy-side due diligence

You’re analysing a company you want to buy or invest in and need to review, in your language, the documentation the other party provides, often under very tight deadlines.

  • Translation of the documentation received from the seller
  • Legal, tax, employment and financial DD reports
  • Contracts and contingencies for risk analysis
  • Prioritisation by your timeline’s milestones

What the price depends on

There is no single rate: every data room is different. The price is calculated from these four factors, which is why it’s best for us to see the scope of the documentation before giving you a firm figure.

The languageThe language combination and the availability of area-specialised translators for that pair.
The data room volumeThe number of documents in the deal and their actual length.
Complexity by areaLegal, financial, tax and employment documentation, each with its own terminology.
The review deadlinesIf the due diligence schedule is tight, we prioritise and coordinate milestone deliveries.

When the documentation needs to be sworn

Official validity, when it’s needed

Most of the data room is translated as a simple translation, for the review’s analysis and decision-making. But certain documents —deeds, contracts raised to public deed, accounts or documents for registries and public bodies— may require a sworn translation, signed and sealed by an officially accredited sworn translator-interpreter. You can check accreditation by language in the official search tool of the Spanish Ministry of Foreign Affairs.

The general framework is governed, among other rules, by Royal Decree 724/2020 (BOE), which regulates the Language Interpreting Office and the role of the sworn translator. If your procedure is international, an apostille or legalisation may also be required depending on the country.

At Trayma we review the destination country and body with you before issuing the final version, to recommend the safest delivery format and avoid follow-up requests.

Frequently asked questions

Frequently asked questions about due diligence translation

What does translating a due diligence include?
The set of data room documents the buyer or investor needs to review: the legal area (contracts, bylaws, deeds, litigation), financial (accounts, audits, projections), tax, employment (payslips, collective agreements) and commercial. It’s not an isolated document but a multidisciplinary file that we translate keeping consistency across all areas.
How is it different from mergers and acquisitions translation?
Due diligence is the pre-deal review phase within an M&A deal. The mergers and acquisitions page covers the whole deal by phases (letter of intent, due diligence, sale-and-purchase agreement and closing); this one focuses on translating the data room of the due diligence phase. If your deal spans all the phases, we cover those too.
Can you translate large volumes under tight deadlines?
Yes. It’s the usual case in a due diligence. We coordinate a team by area with a shared glossary, so we can progress in parallel while keeping terminological consistency, and we plan staggered deliveries according to your timeline’s milestones. Tell us the volume and the deadline and we’ll assess feasibility.
How do you guarantee the confidentiality of the information?
A due diligence handles highly sensitive information. We sign an NDA, use secure channels to transmit and store the documents and limit access to the team strictly assigned to the project. Confidentiality is maintained throughout the deal and afterwards.
Does the due diligence translation have to be sworn?
Generally no: most of the data room is translated as a simple translation, because it’s for the review’s internal analysis. Some specific documents (deeds, accounts or documents for registries or public bodies) may require a sworn translation. We confirm what each document needs depending on its destination.
Do you work for the sell side and the buy side?
Yes. We prepare the data room in the buyer’s or investor’s language for the sell side (vendor due diligence) and translate the documentation received for the buy side. In both cases we maintain confidentiality and the terminological consistency of the whole file.
